1. Who we are

This website and the CounterPal app are run by CounterPal Limited ("we", "us").
Company number 17495692, registered in England and Wales.

2. These terms

These terms cover your use of counterpal.co.uk and the CounterPal app. By using them, you agree to these terms. If a shop has a separate written contract with us, that contract wins where the two differ.

3. Who can use the app

• The app is for shops that have an account with us, and their authorised staff.
• Keep your sign-in details and PINs private. Tell us straight away if you think someone else has them.
• The shop is responsible for what its staff do in the app.

4. Using it properly

Please don't:

• break the law, or help anyone else to;
• try to get into data or accounts that aren't yours;
• try to break, overload, copy or reverse-engineer the app;
• send spam, or message anyone who hasn't agreed to marketing.

We may suspend access if these terms are broken, or to protect the app or its users.

5. WhatsApp

If a business connects its WhatsApp Business account, it must also follow Meta's WhatsApp Business terms and policies. The business can disconnect at any time in the WhatsApp Business app.

6. Data

Each shop owns its customers' data and is responsible for it. We handle it only for the shop, as our privacy policy explains.

7. Our app and content

We own the CounterPal app, name and website content. Using them doesn't give you any rights in them, beyond using them under these terms.

8. Availability and changes

We work to keep the app running and safe, but we can't promise it will never be interrupted or have errors. We may update, change or stop features. We'll give shops reasonable notice of big changes where we can.

9. Liability

• Nothing in these terms limits liability that the law does not allow us to limit, such as for death or personal injury caused by negligence, or for fraud.
• Otherwise, we are not liable for losses that were not foreseeable, or for business losses such as lost profit or lost data, beyond what the law requires.
• If you are a consumer, you keep all your legal rights.

10. Changes to these terms

We may update these terms. The new version will be posted here, with the date at the top.

11. Law

These terms are governed by the law of England and Wales. The courts of England and Wales deal with any dispute. If you are a consumer living elsewhere in the UK, you can also use your local courts.
